These Terms and Conditions govern your access to and use of the website located at https://influaura.in, including all associated applications, software, APIs, communication systems, analytics tools, AI systems, and services operated by Influaura. By accessing, browsing, registering on, or using the Platform in any manner whatsoever, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations of India.

If you do not agree with any provision contained herein, you must immediately discontinue the use of the Platform.

Influaura is a technology-enabled creator discovery, influencer collaboration, audience intelligence, campaign management, and AI-assisted analytics platform that facilitates interactions between creators, influencers, brands, agencies, advertisers, and businesses. The Platform enables users to discover publicly available creator profiles, analyze publicly available engagement and audience metrics, communicate and negotiate collaborations, and access AI-powered insights, pricing estimations, and analytical tools. Influaura functions solely as an intermediary technology platform and does not guarantee campaign performance, engagement levels, audience authenticity, creator reliability, business outcomes, sales conversions, or completion of transactions between users.

By using the Platform, you represent and warrant that you are at least eighteen (18) years of age, possess the legal authority to enter into binding agreements, and are legally competent to use the Platform in accordance with applicable Indian laws. If you are using the Platform on behalf of a company, agency, organization, or other legal entity, you further represent that you possess the authority to bind such entity to these Terms and Conditions.

Users may be required to create an account to access certain features and services available on the Platform. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account. Influaura shall not be liable for any unauthorized access, misuse, or loss arising from your failure to secure your account credentials. The Company reserves the right to suspend, restrict, terminate, or investigate any account at its sole discretion in the event of suspicious, unlawful, fraudulent, abusive, misleading, or unauthorized activity.

Influaura may collect, process, organize, analyze, display, and utilize publicly available information accessible through social media platforms, creator profiles, public websites, publicly viewable content, search engines, APIs, publicly accessible digital databases, and other legally accessible online sources.

Such publicly available information may include usernames, profile information, public engagement metrics, public follower counts, publicly accessible audience information, publicly available comments, publicly viewable content metadata, and publicly accessible business contact details. Influaura does not access private accounts, private messages, confidential communications, password-protected information, or restricted data without authorization.

The Platform may use lawful automated systems, publicly available APIs, indexing technologies, web crawling technologies, artificial intelligence systems, and analytical tools to collect and process publicly available information for purposes including creator discovery, audience intelligence, fraud detection, pricing estimation, analytics generation, campaign optimization, AI-based recommendations, and overall service enhancement. By using the Platform, you acknowledge and agree that Influaura only utilizes publicly available or legally accessible information and does not unlawfully obtain or access restricted data. Users further acknowledge that publicly available information may change, become unavailable, or be modified by third-party platforms at any time, and Influaura shall not be liable for inaccuracies, interruptions, outdated information, or changes in third-party platform policies.

The Platform may provide AI-generated insights, audience analysis, engagement analytics, pricing estimations, fraud detection indicators, creator recommendations, negotiation assistance, and related outputs generated through artificial intelligence systems. Such outputs are provided solely for informational and analytical purposes and should not be interpreted as financial advice, legal advice, investment advice, tax advice, or professional recommendations. Users acknowledge that AI-generated outputs may contain limitations, assumptions, inaccuracies, estimation errors, or incomplete information, and Influaura shall not be liable for any decisions, losses, disputes, or actions arising from reliance on such outputs.

Influaura acts solely as a facilitator and technology service provider and does not guarantee the authenticity, legality, quality, conduct, performance, audience legitimacy, business practices, campaign outcomes, payment obligations, or representations made by any user, creator, brand, or agency using the Platform. All negotiations, communications, campaigns, collaborations, transactions, and interactions conducted through the Platform occur solely between the respective users at their own discretion and risk. Users are solely responsible for conducting independent due diligence, executing legally binding agreements where necessary, complying with applicable taxation laws including GST and TDS obligations, and verifying the legitimacy and suitability of collaborations.

Where applicable, Influaura may facilitate subscriptions, premium memberships, transaction processing, payment collection, commission-based services, campaign management services, escrow systems, analytics services, and related paid features. Users acknowledge and agree that applicable platform fees, taxes, commissions, gateway charges, and service charges may apply to transactions conducted through the Platform.

Influaura reserves the right to deduct commissions, withhold payments, suspend payouts, reverse transactions, or restrict payment processing in cases involving fraud, suspicious activity, abuse, disputes, legal obligations, chargebacks, or violations of these Terms and Conditions.

Users remain solely responsible for compliance with all applicable taxation laws, invoicing obligations, GST requirements, TDS deductions, and statutory reporting obligations arising from transactions conducted through the Platform.

Users agree not to engage in unlawful, fraudulent, abusive, misleading, defamatory, harassing, or harmful conduct while using the Platform. Users shall not attempt to reverse engineer the Platform, interfere with system security, bypass payment mechanisms, circumvent platform commissions, distribute malware, use unauthorized automation, infringe intellectual property rights, impersonate other persons or entities, or violate any applicable law or regulation. Influaura reserves the right to remove content, suspend accounts, restrict access, or initiate legal proceedings where necessary.

All rights relating to the Platform, including software, branding, logos, designs, AI systems, databases, algorithms, analytics systems, website content, user interfaces, source code, and associated intellectual property are owned by or licensed to Influaura and are protected under applicable intellectual property laws.

Users shall not reproduce, distribute, copy, modify, commercially exploit, reverse engineer, or create derivative works from any portion of the Platform without prior written authorization from Influaura.

Third-party trademarks, social media references, creator names, logos, and platform identifiers remain the property of their respective owners. Influaura does not claim ownership over third-party platform content or publicly accessible creator content.

Use of the Platform is also governed by the Privacy Policy. Users acknowledge that certain information may be collected automatically through cookies, analytics tools, AI systems, APIs, and related technologies to improve services, enhance user experience, optimize platform functionality, and provide analytical insights. Influaura implements commercially reasonable security measures but does not guarantee absolute protection against unauthorized access, cyberattacks, technical failures, or data breaches.

The Platform may integrate with or reference third-party platforms and services including Instagram, Meta, Google, payment gateways, analytics providers, communication services, and external APIs. Influaura shall not be responsible for third-party platform actions, outages, API restrictions, policy changes, data inaccuracies, account suspensions, or failures arising from external services. Use of such third-party services shall remain subject to their respective terms and policies.

The Platform and all associated services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Influaura disclaims all warranties relating to merchantability, fitness for a particular purpose, reliability, accuracy, availability, non-infringement, uninterrupted access, campaign success, creator performance, audience quality, data accuracy, or error-free operation.

To the maximum extent permitted under applicable law, Influaura, its founders, directors, employees, affiliates, contractors, licensors, partners, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, data loss, reputation damage, revenue loss, or commercial losses arising from use of the Platform, third-party actions, creator fraud, inaccurate analytics, AI-generated outputs, unauthorized access, technical interruptions, or disputes between users.

In no event shall Influaura’s aggregate liability exceed the total amount paid by the concerned user to Influaura during the preceding three (3) months.

Users agree to indemnify, defend, and hold harmless Influaura and its affiliates against any claims, liabilities, damages, penalties, losses, legal expenses, or proceedings arising from violation of these Terms and Conditions, misuse of the Platform, infringement of intellectual property rights, fraudulent conduct, unlawful activity, regulatory violations, or disputes caused by user actions or content.

Influaura reserves the right to suspend, restrict, investigate, or terminate access to the Platform at any time without prior notice in cases involving suspected fraud, abuse, legal violations, policy breaches, unauthorized activity, harmful conduct, or security concerns. Termination of access shall not affect accrued rights, liabilities, payment obligations, or legal remedies available to Influaura.

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to the Platform, these Terms and Conditions, transactions, services, or related matters shall be subject to the exclusive jurisdiction of the competent courts located in Raipur, Chhattisgarh, India.

Influaura shall not be liable for delays, interruptions, failures, or inability to provide services caused by events beyond reasonable control including natural disasters, cyberattacks, government actions, internet failures, API restrictions, labor disputes, power failures, pandemics, regulatory actions, or third-party service disruptions.

Influaura reserves the right to modify, update, revise, or replace these Terms and Conditions at any time without prior notice. Updated Terms shall become effective immediately upon publication on the Platform. Continued use of the Platform following publication of revised Terms shall constitute acceptance of such modifications.

For any legal notices, grievances, concerns, or questions relating to these Terms and Conditions, users may contact Influaura through the contact details provided on the Platform.

These Terms and Conditions, together with the Privacy Policy and any additional policies published by Influaura, constitute the complete and entire agreement between the user and Influaura concerning use of the Platform and supersede all prior understandings, communications, or agreements relating thereto. If any provision of these Terms and Conditions is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted under applicable law.
